To understand what makes stocks and shares price move you must first understand a few things about the current pricing of a stock. At any given time during regular trading hours a stock has 3 values associated with it. A bid, an ask, and a current price. The bid is the highest amount someone is currently willing to pay for a share of stock, while the ask is the lowest amount someone is currently willing to accept for a share of stock. Each number will usually be shown next to the number of shares the investor is offering or asking for. The price of a stock at any given time is simply the last price a share of that stock sold for. Usually the bid and the ask are relatively close to the current share price. The difference between the bid and the ask is called the spread and it is usually healthier for a stock to have a smaller spread. Now we will talk about what makes the price of stock change. If you have ever taken a beginners economics course you probably remember learning about supply and demand. The concept is quite simple. If there is a larger supply of a product than there is demand, the price will likely drop. If there is a greater demand and not enough supply to match, than the price will probably rise. This is also true with stocks and shares. As was explained in lesson 1, the stock market is a literal market where a product, namely ownership of a company, is bought and sold. This means it runs on similar economic principles. If there are a lot of investors trying to sell a stock, and a much smaller number of investors looking to buy that same stock, the price will of the stock will begin dropping. Let’s look closer at the reasoning behind the price drop by creating a mini-market with five people; John, Jessica, Jeremy, Janet, and Jimmy. We will pretend that all five of these investors own 100 shares of stock in Company A. One day they find out that Company A messed up on a new product and it will be delayed for a year. Four of them decide to sell their shares in the company and put them up for sale. Unfortunately, due to the news, there is only one investor that is interested in buying the stock for its current price. John sells his shares, but that leaves Jessica, Jeremy, and Janet, all with shares they still would like to sell. There is nobody willing to buy at the current price, but one investor has offered to buy at a price $1 lower than the current price. Jessica sells to the investor, and the current stock price adjusts to show a current worth that is $1 less than before. If Jeremy and Janet decide to sell as well, they may push the current price even lower as they seek to find investors to purchase their shares of stock. Sometimes when a company announces extremely bad news you can see the worth of a single share of stock drop more than 50% in a single day. In a conventional merger or acquisition, the merging companies become a single legal entity, with one business buying the outstanding shares of the other. However, when a DLC is created, the two companies continue to exist, and to have separate bodies of shareholders, but they agree to share all the risks and rewards of the ownership of all their operating businesses in a fixed proportion, laid out in a contract called an "equalization agreement." The equalization agreements are set up to ensure equal treatment of both companies’ shareholders in voting and cash flow rights. The contracts cover issues that determine the distribution of these legal and economic rights between the twin parents, including issues related to dividends, liquidation, and corporate governance. Usually, the two companies will share a single board of directors and have an integrated management structure. A DLC is somewhat like a joint venture, but the two parties share everything they own, not just a single project; in that sense, a DLC is similar to a general partnership between publicly held corporations. A dual-listed company structure is effectively a merger between two companies, in which they agree to combine their operations and cash flows, and make similar dividend payments to shareholders in both companies, while retaining separate shareholder registries and identities. In virtually all cases, the two companies are listed in different countries. There are often tax reasons for companies from different jurisdictions to adopt a DLC structure instead of a regular merger where a single share is created. A capital gains tax could be owed if an outright merger took place, but no such tax consequence would arise with a DLC deal. Differences in tax regimes may also favour a DLC structure, because cross-border dividend payments are minimized. In addition, there may be favourable tax consequences for the companies themselves. Once companies have chosen a DLC structure, there can be major tax obstacles to cancelling the arrangement. Issues of national pride may sometimes also be involved; where both parties to a proposed merger or takeover are in a strong position and do not need to merge or accept a takeover, it can be easier to push it through if the country with the smaller business is not "losing" its corporation. A third motive is the reduction of investor flow-back, which would depress the price of the stock of one of the firms in their own market if the merger route were used instead. That is, some institutional investors cannot own the shares of firms domiciled outside the home country or can only own such shares in limited quantity. In addition, in a merger, the non-surviving firm would be removed from all the indices. Index tracking funds would then have to sell the shares of the surviving company. With the DLC structure, all of this would be avoided. A fourth motive is that DLCs do not necessarily require regulatory (anti-trust) consent and may not be constrained by the requirement of foreign investment approval. Finally, the access to local capital markets may be reduced when a quotation disappears in a regular merger. This is based on the idea that local investors are already familiar with the company from the pre-DLC period. However, the DLC structure also has disadvantages. The structure may hamper transparency for investors and reduce managerial efficiency. In addition, issuing shares in a merger and capital market transactions (such as SEOs, share repurchases, and stock splits) are more complex under the DLC structure. ....

If there has been no prior public market for the company’s securities in the U.S., FINRA must have approved a Form 211 with a minimum bid price of $0.25 or greater. If the company is applying to the OTCQX immediately following a delisting from a national securities exchange, it must have a minimum bid price of at least $0.10. • Be included in a Recognized Securities Manual or be subject to the reporting requirements of the Exchange Act; • Have its securities listed on a Qualifying Foreign Stock Exchange for a minimum of the preceding 40 calendar days – however, OTC Markets can grant exemptions for companies trading on other foreign exchanges as well; • Have a global market capitalization of at least $10 million on each of the 30 consecutive calendar days immediately preceding its application day; • Meet one of the following conditions: (i) be eligible to rely on the registration exemption found in Exchange Act Rule 12g3-2(b) and be current and compliant in such requirements; or (ii) have a class of securities registered under Section 12(g) of the Exchange Act and be current in its SEC reporting requirements; or (iii) if not eligible to rely on the exemption from registration provided by Exchange Act Rule 12g3-2(b) and is not otherwise required to register under the Exchange Act, it must be current and fully compliant with the obligations of a company relying on Rule 12g3-2(b); and • Have a Principal American Liaison (PAL). Let's go over why the stock price is the least important factor when valuing a stock. The price of a stock is determined by how many shares the company wishes to have in the stock market. This means the price could be any number they want it to be. A lower priced stock can have the same value as a higher priced stock. Comparing Apple stock at a 1 trillion dollar market cap, to Google stock at a 800 billion market cap, we can see why the stock price doesn't matter. Apple stock is $220 while Google stock is $1000, 5 times as expensive, but Google is worth less overall. A cheaper $10 stock might only make 10% a year in profits, while a more expensive stock might make 100% a year in profits, the $100 stock would be worth a lot more even though it costs more per stock. Low priced stocks do tend to be higher risk companies which might explain why they double more often than higher priced companies, but this means they have more chances of losing money as well. It's better to own one share of a good company than a thousand shares of a bad company. Instead of looking at the price of stocks, look at their market cap. To value a stock we can look the price to earnings ratio to see how much they've earned in profits. The higher the profits, the more of a value the company. We also have to look at growth in the company, a company growing 50% a year would go up in price much faster than a company growing 20% a year. This is why companies like Nvidia stock might go up 1000% while Intel only went up 100%, even though Intel has a better valuation. As a beginner in the stock market, make sure to look at more numbers than the stock price.

China will open wider to foreign investors and support foreign companies in getting listed in China's stock market, said Ning Jizhe, deputy director of the National Development and Reform Commission, on Friday. Ning told a press briefing that according to a circular on measures of expanding opening-up and actively use foreign capital, which was adopted at the executive meeting of the State Council on Wednesday, China will revise the indicative catalog of industries for foreign investment and lift the restrictions on foreign investment in such areas as banks, securities, futures and insurance. "We will create a fair financing environment and conditions to support foreign-capital enterprises in broadening their financing channels by listing on the main boards, the SME board, the ChiNext board and the New Third Board. We will treat them equally when it comes to issuing enterprise, corporate and convertible bonds, and obtaining financing using debt financing instruments of non-financial enterprises," said Ning. The New Third Board, or the National Equities Exchange Quotation (NEEQ) is a national system for SMEs to transfer shares and raise funds, focusing for innovation and high-tech companies. Ning said that China will open up several sectors in an orderly manner, including the telecoms, Internet, culture, education and other sensitive areas.At the same time, it will remove the restrictions on investment in rail transit equipment, motorcycles, non-regular oil and gas and mineral resources. So really we get a snapshot of how markets are performing by tracking the movements of certain stock indexes. Now there are quite a few stock indexes, with each measuring the performance of a different collection of stocks. Some stock indexes show the performance of the overall equities market, while others indicate the performance of a specific sector like technology for example. Although it's easy to get overwhelmed with all of the different stock indexes, there a few common indexes that all investors pay attention to. The first of these is the Dow Jones Industrial Average, commonly referred to as the Dow. The Dow is the oldest and most widely cited index. Often viewed as the barometer of health for the overall equities market, the Dow tracks the market movements of 30 blue-chip, large-cap companies whose stock is traded on the New York Stock Exchange. The companies that make up the Dow represent a variety of different sectors since the goal is to get a snapshot of the performance of entire equities market. However a common criticism of the Dow is that it really does not well represent the entire equities market. Since the Dow only measures the performance of blue-chip large-cap stocks we really only are looking at the largest and typically most financially stable companies. Companies that make up the Dow include AT&T, Coca-Cola, Chevron, Walmart, Walt Disney, and Microsoft to name a few. These certainly aren't your average companies. Another issue is that the Dow only measures the performance of 30 companies. Despite these shortcomings, the Dow is still a reliable index to follow if you want to get a pulse on the equities market. Another popular stock index is the Standard and Poor's 500, commonly referred to as the S&P 500. The S&P 500 tackles some of the issues present in the Dow, and is generally considered to be a more balanced representation of the large-cap equities market. Where the Dow measures the performance of a mere 30 companies, the S&P 500 measures the market performance of 500 large-cap companies from a variety of sectors. As a result, the S&P 500 is often viewed as the single best indicator of the large-cap equities market. The last stock index that we'll review is the National Association of Securities Dealers Automated Quotation, which is always referred to simply as the Nasdaq for obvious reasons. This stock index tracks the market performance of approximately 3,000 companies across six continents. Although the Nasdaq measures a large number of stocks, the companies represented in the Nasdaq are commonly technology companies which in general tend to be more volatile. As a result, the Nasdaq is not necessarily representative of the entire equities market, but it does provide investors with a good snapshot of the technology sector. The beauty of a stock index is that simply by tracking a single indicator you get a general idea of how the stock market is performing. Although individual stocks may differ in their performance, making it difficult to assess whether the market is strong or weak, a stock index clearly indicates how the market is performing, or at least the market that it represents.
