What is a financial statement audit? That's where you go out to the company and you pick up management’s financial statements. Now, these are management’s statements. In other words, management is responsible for the presentation. Management is responsible for the content. Our job as an auditor, should we decide to accept it, is to obtain sufficient, appropriate audit evidence, enough good audit evidence, so we can give an opinion on management’s representations. So, that is our goal as an auditor. We’re called an external, independent, objective. We have to be independent, objective, unbiased, neutral...you can't own stock in the company or you can't do that audit because you're not independent. So, a financial statement audit is basically an examination or an audit for the purpose of giving an objective opinion as to the fairness of financial statement presentations. So, let's break that down. What is a financial statement audit? It's an examination or an audit. So it's an audit. It is an audit for the purpose of giving an objective opinion. You’re giving an objective, unbiased, neutral, clear mental attitude opinion because when you go out and pick up...Whose statements are these? Management's. When you pick up management’s statements, you are giving an opinion on all this brown stuff, right? How appropriate. So, our opinion covers only this brown stuff. The fun stuff...this is called other information. This is the stuff that management puts in there. We have a responsibility to look it over, read it, make sure it's reasonable, but our opinion really covers this because our whole purpose of this is to give this audit opinion which says, ”In our opinion the statements referred to above presents fairly in all material respects to the financial position of X Co. as of 12/31/x1. The results of its operations are in conformity with US GAAP.” So, we're giving an opinion on GAAP. Are these statements presented fairly in conformity with United States generally accepted accounting principles? So, in order to do an audit, it's an examination or an audit for the purpose of giving what we call an objective, unbiased, neutral opinion. We're giving an opinion because these statements are not ours.

Tax season is over, audit season coming soon
You may be happy tax season is over, but you might not want to move out of tax mode yet.   The IRS will soon be sending out audits. Even if you filed your taxes on time, you may still be audited. A recent ProPublica article reports people who receive the earned income tax credit are more likely to be audited because some people claim the credit when they aren’t eligible.   A former deputy commissioner of the IRS told ProPublica, tax credit recipients were audited much more often than taxpayers making six figures, putting refunds on hold for lower income people who depend on them.  KOLR10 spoke with Benjamin Dickerson, a local tax preparer who says the season is coming up and you should be prepared.   “The IRS has a computer system that cross references all of the documents that have been sent by employers, banks, investment companies, things like that,” Dickerson said.    Dickerson says the likelihood of getting audited is different for everyone is and isn’t entirely dependent upon demographics.   Reasons you may be audited include random selection, computer generated selection (if the computer finds a discrepancy in filed forms) and if there are problems with other taxpayers like business partners you may have.  "You might be randomly audited,” said Dickerson. “There might be a document that you didn't know you had, that was missing from the tax return. There also might be various credits that you didn't know that you were eligible for, that you end up finding out about later, where you need to go ahead and amend that return.”  The best way to mitigate stress if you do get an audit in the mail is to keep all of your documents.  “The main thing you want to think about is record keeping,” Dickerson said. Every person wants to keep their records for at least three years, depending on the tax scenario sometimes it's five sometimes its seven or more."  Dickerson says the best thing you can do if you get an audit is to act on it immediately.  "So as soon as you get a letter, whether it says, ‘30 days, 60 days, 90 days,’ whatever the case may be, cause there is a variety of types of letters,” said Dickerson. “Get to a tax professional who knows how to respond properly to it. Don't stick your head in the sand and hop e the problem is going to go away cause it's not going to."  In 2017, the IRS audited over 900,000 individual income tax returns.  Audits are expected to be sent out in late May or early June.

Would you panic? Would you know exactly what to look for to pick a winner? Or would you go off a hunch and risk picking a dud? Evaluating a SaaS company for acquisition is a stressful and intimidating process if you don’t know what you’re looking for. But after exiting three of my own companies, and being on both sides of the acquisition table hundreds of times as an advisor, I’ve distilled the first level filters into 4 simple criteria. I break them down for you in this week’s episode Using this criteria in the early stages of evaluating a company can help you spot a dud BEFORE plunging into an expensive and time-consuming due diligence period. At a high level, you want to be evaluating potential acquisitions based off of: 1. Numbers (I share the 3 key metrics in the video) 2. Source code 3. IP Review 4. Customer support The last one is totally underrated as an evaluation tool, and one you need to pay VERY close attention to whether you’re considering acquiring a company or hoping to be acquired yourself someday. If the support metrics are tanking (ie. volume of issues, time to respond, unanswered tickets, etc.)... … then even if all the other metrics look favorable, the company could be in line for a mass customer exodus the moment you take it over. Ouch. A thorough audit of how well a company takes care of its customers is a critical evaluation criteria I would never risk doing without.
