You know what the difference is? Venture capital. Today, I'm going to share with you how to raise venture capital. See, over my lifespan, I've raised more than $20 million. That may not seem like a lot. It's because I've learned that you shouldn't raise more than you need. Sure, some people raise hundreds of millions of dollars and then their company fails and the VCs take the whole thing. The key is with venture capital is to not raise too much, just raise a little bit more than you need. The reason I say a bit more is because things always go wrong. You may think, oh, I just need this much money, and then things will go right, I can do this and that, but things always go wrong. always add some padding. Now here's the thing that most people don't tell you about venture capital. When I first started off, I would go to VCs and pitch them like here's my idea; it's cool, it's the next best thing since sliced bread. You have to invest. And you know what they said? Oh, cool yeah, I'm interested, let us think about it, and we'll get back to you. You know what they did? They never got back. Why? Because I didn't build a relationship with them. See, venture capital is all about who you know. It's not about going out there and just raising money from random people. It's really about raising money from the right people. And what I learned about venture capital is when you build up a relationship and you get to know people, they're much more comfortable giving you money. Why? Because the idea they invested in, and they see this, is probably not going to be the idea that your company ends up with. Ideas change over time. What you first start with is rarely what you end up with. Things pivot and adapt. So people invest in those that they know. Twitter started out as Odeo. Odeo was a podcast company, and it wasn't working. Then they came up with Twitter. Podcasting. Twitter. Do you see the resemblance? I don't. The investors didn't either. But they understand ideas change. So, go to events like TechCrunch, they have conferences. Who are at the TechCrunch events? Investors. Mashable has meetups. Who are at those kinds of events? Investors. Before you pitch them, you have to get to know them first. That's the biggest mistake entrepreneurs make. People go and try to raise money, which never really happens, from random people that they don't know. And it usually, in most cases, ends up in disaster. You need to create a deck. There's a lot of amazing decks. If you go to SlideShare, Dave Mcclure once released a deck that shows you how to raise venture capital. I understand technology's changed, but the same pitch that worked back then works now. If you follow these steps, you will be better off, and you should have an easier shot at raising money. If you're not passionate, you're probably not going to get money. If you don't have a co-founder, again, it's going to be hard to raise money. VC's know you're not going to be able to do everything. If you're a business person, find an engineer. If you're an engineer, find a marketer or a design or a product person. You want to have at least two or more co-founders. Now that you've got your co-founders, you have to pitch a big idea. Ventur Capitalists are looking for the next Uber, Airbnb, eBay, Google, Microsoft; you get the point. Create something that's huge. They'd rather have you swing big and lose money than not take any risk at all. They don't want you to create a company that does $20 million a year and sells for $50 million. It doesn't do much for them. So go after a big idea, or no one's going to give you money. After you raise the Venture Capital, you should always be fundraising. Before your money runs out, raise more money. You want to have a healthy cash reserve, or else you're going to have a much harder time raising money. These angel investors typically come in four distinct groups: 👉Individual Angel Investors- As for finding angel investors directly, this is the hardest route, by far. First, because they prefer to stay anonymous. And, second, because they don't know you at all. Sometimes rich individuals have built formal family investment offices, with professional managers screening deals for them. But,if they can afford a family office, they prefer to invest $5MM+ in more typical venture investments, not $500K for a startup. Preferably, you need to find an individual that understands your industry and business model and can bring real value to the table. If they have first hand experience in your space, and they think they can help you accelerate your efforts, it is easier for them to get over the investment hurdle. So, identify those individuals, and try to figure out someone they know, who can credibly make an introduction for you. As an example, if you think you have the next great video gaming technology, I would research what similar video game technologies have recently been sold (meaning the founder just got very cash rich), and reach out to that founder to tap into their expertise as an advisor, board member or investor. Notice, I didn't lead with investor. You need to establish credibility with this individual before jumping into the investment question. And, if he doesn't want to invest, he may know others in the industry that would, so ask him for references. Venture capital firms are also aware of key angels in their market, so reach out to them for guidance. Angel List is a particularly good resource that makes finding angels for your region/industry easier than ever, so check them out as a good place to start. But, again, look for credible relationships to help open the door for you, preferably to investor is your home market (as most angels tend to bias local investments). 👉Angel Investor Networks This category, is my favorite category: networks aggregating angel investors. Like the family offices, investors set aside funds for angel investments, screened by a professional team that sources deals for the network. So, the individual angel gets to keep their anonimity and have the comfort of a team of smart managers doing due diligence on investment targets, on their behalf. So, instead of one angel investing $1MM by themself, 100 angels aggregate $100MM and invest as a group in the deals they like the best, individually or collectively. 3 Lessons I Learned from Raising 3 Million Dollars

Hey BiggerPockets, Let's jump right into it! Today I'm going to share with you the lessons that I've learned by raising 3 million dollars for a real estate investment property. Before we start, keep in mind that these 3 lessons can be used all across the board, whether you're doing smaller deals or bigger deals, these lessons still apply. For starters when you're putting together a project like this that involves equity, you must have a lawyer involved. Make sure that you're in compliance with the SEC and any regulations they have in regards to securities. This isn't a lesson, this is a MUST! The project that we just raised money for was for a 198 unit apartment complex that we purchased in Fayetteville, North Carolina. Lesson #1 Not Every Deal Works (For Your Investors) When you're raising private money, keep in mind that not every deal is going to work for your investors. This particular deal was a 10 year hold. Not all of my investors were interested in parking their money for that long. I have people who invest with me regulary but they're looking for something different, a quicker turn around like 6-9 months and that's okay. The key is to talk to your investors and find out what they're looking for. Lesson #2 Stay in Touch When someone tells you No, they might mean not right now. No and Not Right Now are two different things and can sometimes be confusing. This is why it's important to follow up. The person who said not right now 6 months ago might now be ready or in the position to invest with you. Remember your investors are busy and they're more than likely not going to think to call you if a deal they're working on falls through. So make sure that you check in and keep in touch. Lesson #3 Ask for Referrals When you're on the road to raising money, ask your investors if they know anyone else who might be interested in investing. This is a super power tool because people who said no to me and the deal still referred me to others who might be interested. Now the reality is, in order for this to happen you're investors have to trust you. If they do, they'll have no problem referring you and providing the introductions needed. What are the different methods available for the entrepreneur to raise funds in the primary market? The entrepreneurs have the option of raising the required funds through the following methods in the primary market. - Public Issue/Going Public: This is the method more popular. In this method a prospectus is prepared and issued to the public. The funds are collected from the public through this prospectus. - Rights Issue: - When additional finance is required, entrepreneurs follow the strategy named Rights issue where in they offer securities to the existing shareholders on a pro-rata basis. In other-words they give right on certain number of shares in proportion to the number of shares held by them currently. - The availability of the shares is communicated to the existing shareholders through a circular. - The existing share holders have the option to either acquire their shares or to not accept them. - If the shares are not accepted by the existing shareholders they are transferred to the other persons. - Rights issue is inexpensive as there is no involvement of - Agents - Brokers - Prospectus - Underwriters - Enlistment etc. - Private Placement: Entrepreneurs use private placement to raise funds from the institutional investors. These institutional investors are very limited in number. Entrepreneurs belonging to both public and private limited sector utilize this option. They issue different varieties of financial instruments to capitalize using private placement. Private placement help the entrepreneurs to keep maintain business information confidentially and keep it from disclosing in the open market. Different institutional investors are - Unit Trust of India - Life Insurance Corporation of India - General Insurance Corporation - Army Group Insurance - State Level Financial Corporations - Offers to the employees: Stock options or offering shares enable the employees to become share holders and share the profits of the company. When an employee opts for a stock option, the employee goes through an agreement to stay with the company for a specified period of time. If the employee leaves the company before the specified period or is fired, they’ll not be able to utilize their stock options. Availing the stock options requires the employees to stay with the company for a specified period of time after which they can purchase the stocks. They benefit from the stock options if the value of the share is increased during this period. TRANSCRIPT: In today’s market, private equity fund and hedge fund managers are raising billions of dollars. What are the rules of the road for fundraising these days? And what are the consequences for violating those rules? Hi, I’m Jeff Tabak. I’m going to talk to you a little bit about what it takes to fundraise in today’s market. So, if you want to engage in a private placement of your securities, which is what managers do when they raise money for private equity and hedge funds, there are certain rules you have to follow. Number 1: you are subject to the private placement exemption that keeps you from registering with the securities exchange commission. The safe harbor for the private placement under the securities act is known as Regulation D. That requires fund managers to sell to accredited investors. So, what are the criteria for accredited investors? Well, individuals have to have a net worth of at least 1 million dollars, or an income of $200,000 in any year, or $300,000 with their spouse for two years and a reasonable expectation of that same income for the current year. And entities have to have at least $5 million of net worth. If they satisfy that, they are going to be accredited investors. It’s also possible to raise money from not more than 35 non-accredited investors. But most private equity funds and hedge funds don’t need to use the “not more than 35” non-accredited investors, because they have such large minimums to invest to begin with; it’s just not worthwhile. So now I’ve described who you can solicit, but there’s also the question of the manner in which you can solicit investors. The SEC has said that you cannot engage in a general solicitation or any kind of media advertising to raise money. That’s anathema to a private placement. So again, when clients call me up and ask what they can do, the first thing I tell them is they can’t go into central park and distribute private placement memoranda to anybody who walks by. They need to have a relationship of some type with the investors that they are going to solicit. No cold calls, no emails to people they don’t know. And this is especially true in the age of the internet, where anything you say might be accessible to anybody who turns on their computer and accesses a website. And so, what has developed over the course of the last few years is a password-protected website, at least a portion of the website that gives information about the particularfund that’s being raised so that only current investors and prospective investors who have the financial sophistication and the ability to invest in the fund can have access to information about that fund raise. So how do you avoid general solicitation? Well the first thing that we do is send a memo to our clients that tells them things they should not do. One of them, for example, is to go on CNBC and be interviewed about their fund raise. Or to be on any other media or other program or be in the newspaper talking about what they are doing. That’s not to say that you can’t go on TV and be interviewed; you can talk about your business in general. But if somebody were to ask you a question about your fund raise, the answer should be no comment. Private equity fund managers, especially when they are successful, like to talk about their returns. So, one of the things that’s important for them to know when they’re raising a fund, is they need to be careful not to talk too much about their business or their potential fund raise. The consequence of doing that though are severe. Number one, if you have violated the general solicitation rules, there is a possibility that you may have to have a cooling-off period of up to 6 months. One of the most difficult things to tell a client is they have to stop fund raising for at least 6 months. After the fund is closed, there is a possibility, if general solicitation was engaged in, that the investors would have a rescission right. They’d be able to ask for all of their money back and possibly disgorgement by the manager of any of its prophets... More on speaking to the press…

By being publicly available, this means that anyone can invest because they comply with the SEC disclosure regulations, and by doing so, they don’t limit themselves to accredited investors So there’s gotta be a catch, RIGHT? So I read through all 225 pages of their fine print. Here’s what I found. First concern is lack of liquidity. By investing through Fundrise, you’re pretty much tying up your money for 5 years. Even though they say that if you pull out your money prior to then at their redemption rate, which is 97% at its lowest - they still make it very clear there is no guaranteed return of your investment with no immediate plan to buy back your shares. As from their fine print: “If we do not successfully implement a liquidity transaction, you may have to hold your investment for an indefinite period.” It goes on to say “Fundrise Advisors, LLC, our wholly-owned subsidiary, has the authority, in its sole discretion, to limit redemptions by each shareholder during any quarter, including if the Manager deems such action to be in the best interest of the shareholders as a whole.” Second concern I have is their fees…which they say are 1% annually. This seems a bit high compared to other lower cost options, namely a Vanguard REIT - which charges 0.26% annually as a fee, or 74% LESS than FundRise. But, in FundRise’s defense, they’re a smaller company which invests in riskier assets that should generate higher returns to compensate to the higher fee. My third concern - and also a major reason I’d never invest in this - is that the dividends are taxes as ordinary income at your ordinary income rate. One of the many advantages of holding long term investments is capturing the long term capital gains tax rate - this is typically SIGNIFICANTLY lower than the tax rate for ordinary income. My fourth concern is how this investment will hold up in a down market. While I agree with their market strategy and can’t find any faults with where they’re investing, at some point there will be a plateau in growth, while these returns are possible NOW, I’m unsure how sustainable these are long term - and again, if you want to re-balance your portfolio, you may be stuck with your investment. And they very much acknowledge this in their fine print: “The significant growth we have experienced, particularly with respect to assets under management and revenues, will be difficult to sustain.” Fifth, I’m always a little hesitant about companies that give referral fees. While often it’s a nice gesture to give customers SOMETHING for referring business, and I totally agree with this business model, in the age of the internet, there will be people out there who will write falsely positive reviews just to get the referral bonus. When this happens, honest criticism becomes buried or harder to find. For someone wanting exposure to real estate, I believe there are many other REIT options out there that offer the liquidity and tax treatment that put you in a much better position, even if they’ll give you slightly lower returns. I’d rather sacrifice a percent or two JUST to have access to my money when I need it. So overall, no it’s not a scam - and there are some positives about what they’re doing - but from what I see, the downsides just outweigh the upside, rendering other options as more attractive when put side by side.
